

Terms Of Service

1. Acceptance of the Terms
These Terms of Service (the “Terms”) are entered into by and between you and Holistic Athlete LLC, doing business as Holistic Athlete (“Holistic Athlete,” the “Company,” “we,” “us,” or “our”). These Terms govern your access to and use of https://www.theholisticathletes.com (the “Site”) and all coaching, consulting, digital content, forms, communications, scheduling, payment, and related products or services offered by us through the Site, third-party platforms, or otherwise (collectively, the “Services”).
By accessing or using the Services, submitting a form, accepting an invoice or agreement, making a payment, or clicking to accept these Terms, you acknowledge that you have read and understood these Terms, represent that you are eligible to use the Services, and agree to be bound by these Terms and any additional written service terms, enrollment terms, invoice terms, waivers, or policies incorporated by reference. If you do not agree, do not access or use the Services.
If a written coaching agreement, enrollment confirmation, invoice, or other service-specific document conflicts with these Terms, the more specific document controls only with respect to that conflict.
2. Changes to These Terms
We may update these Terms from time to time. The “Last Updated” date identifies the most recent revision. Changes become effective when posted unless a later effective date is stated. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms, to the extent permitted by law.
3. Eligibility and Account Information
You must be at least 18 years old or the age of majority where you live and legally capable of entering into a binding contract. A minor may participate only with the authorization and involvement of a parent or legal guardian and subject to any additional documents we require.
You agree to provide complete, current, and accurate contact, health, training, scheduling, and payment information. You are responsible for safeguarding credentials for any account used to access the Services, including accounts on third-party platforms such as TrainingPeaks. You may not use another person’s account or permit unauthorized use of your account.
4. Nature of the Services
Holistic Athlete provides fitness, strength, endurance, performance, nutrition-education, and related coaching and consulting services. Programming and recommendations may be individualized using information you provide, but outcomes are not guaranteed. Results depend on many factors outside our control, including your health, adherence, recovery, environment, and communication.
Payment begins the enrollment and onboarding process but does not guarantee same-day programming or immediate access to training. Unless your coach approves an exception, allow at least two business days for program preparation after required payment and onboarding steps are complete. Training or future programming may remain hidden until payment and onboarding requirements are satisfied.
5. Client Responsibilities
Provide truthful and complete information, including relevant health conditions, injuries, medications, symptoms, and changes that could affect training safety.
Consult an appropriate licensed medical professional before beginning or modifying a fitness or nutrition program and whenever symptoms, injuries, pregnancy, postpartum status, or medical concerns warrant professional evaluation.
Use reasonable judgment, stop activity when unsafe, and promptly report pain, injury, illness, or other material changes to your coach.
Communicate travel, schedule changes, race plans, and constraints as early as reasonably possible. Immediate or last-minute programming changes are not guaranteed.
Use the Services only for your personal use and comply with applicable laws and platform rules.
6. Third-Party Platforms and Service Providers
The Services may rely on third-party platforms and providers for customer relationship management, forms, email, text messaging, scheduling, invoicing, payment processing, accounting, video calls, website hosting, and training delivery. These may include GoHighLevel/LeadConnector, Stripe, Google Workspace, TrainingPeaks, Zoom, QuickBooks Online, and website hosting or analytics providers. Your use of those services may also be governed by their terms and privacy policies.
We are not responsible for third-party outages, errors, security incidents, policies, or acts outside our reasonable control. We may replace service providers or platforms as our operations evolve.
7. Fees, Payment Authorization, and Recurring Billing
Fees, billing frequency, start date, and any approved payment arrangement will be stated in your enrollment materials, invoice, or other written confirmation. Unless otherwise agreed, coaching is billed in advance. The first invoice is paid manually. By providing a payment method and enabling Auto-Pay, you authorize Holistic Athlete and its payment processor to charge that payment method for recurring invoices, applicable taxes, approved prorations, and other amounts due under your service arrangement.
Recurring charges generally occur on your agreed billing date, which may be your service start date, the first day of the month for an existing arrangement, or another schedule approved in writing. A twice-monthly schedule may be offered by written agreement. You are responsible for keeping payment and contact information current and for banking, foreign exchange, or similar charges imposed by your financial institution.
Payment card information is processed by third-party payment providers. We generally do not receive or store your complete card number. Card networks or issuers may provide updated card information to the payment processor to help prevent interruption of recurring payments.
8. Initial Commitment and Cancellation
Individual coaching services require an initial minimum commitment of three months beginning on the confirmed service start date, unless a different written agreement applies. During the minimum commitment, you remain responsible for all amounts due even if you choose not to use the Services, except where prohibited by law or otherwise agreed in writing.
After the minimum commitment is completed, you may request cancellation by providing at least 30 calendar days’ written notice to coaching@theholisticathletes.com. The notice period begins when we receive the written request. Coaching and billing continue through the effective end date. If the notice period crosses one or more billing cycles, a final invoice may be issued and prorated using the applicable billing-cycle day count.
Clients cannot cancel a recurring billing schedule merely by removing a payment method, disputing a charge, stopping use of the Services, or attempting to cancel through a third-party platform. Cancellation must be processed by Holistic Athlete after written notice. Failure to participate does not cancel payment obligations.
9. Pauses
Pauses are not guaranteed and require prior written approval. An approved pause must have defined start and return dates and may not exceed two consecutive months. Open-ended pauses are not permitted. Before an approved pause begins, the client must pay a one-time hold payment equal to 50% of one month of the client’s normal coaching rate. Regular coaching billing, new programming, and coaching services are suspended during the approved pause unless otherwise agreed in writing. If the client resumes coaching on or before the approved return date, the hold payment will be applied in full as a credit toward the first month of coaching after the client returns. If the client does not resume coaching within the approved hold period, the hold payment is forfeited and is not refundable or transferable. Time spent on an approved pause does not count toward the initial three-month commitment and extends any remaining minimum commitment by the duration of the pause. A pause does not replace or waive the cancellation requirements in Section 8. If the client elects not to return, or does not return by the approved return date, the normal cancellation requirements apply.
10. Failed or Late Payments
If a payment fails, we or our payment processor may retry the charge and contact you. A single failed payment does not necessarily terminate service immediately. However, while a balance remains unresolved, we may stop releasing new future programming, restrict access to unpaid future services, or place the account on payment hold. If the issue is not resolved within the applicable grace period, which is generally approximately seven days unless we state otherwise, we may suspend or terminate Services. Service may resume after payment is resolved, subject to scheduling and program-preparation requirements.
11. Refunds
Fees are generally non-refundable once charged, including for unused time, missed appointments, lack of participation, travel, or a decision to stop using the Services. Any exception is at our written discretion or as required by applicable law. This provision does not limit any non-waivable consumer rights.
12. Communications, Email, and Text Messages
You agree that we may send administrative and service-related communications regarding your consult, enrollment, appointments, billing, onboarding, coaching, account, and service updates using the contact information you provide. Consent to receive marketing communications is separate and is not required to purchase Services.
If you consent to text messages, message frequency varies and message and data rates may apply. Reply STOP to opt out of text messages or HELP for assistance. Opting out of text messages does not cancel your Services or prevent us from communicating through other lawful channels. You are responsible for providing a number you are authorized to use and for notifying us if that number changes.
13. Intellectual Property and Restrictions on Use
The Site, training plans, programming, educational materials, graphics, templates, videos, written content, methods, and other materials made available through the Services are owned by or licensed to Holistic Athlete and are protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable right to use materials solely for your own participation in the Services.
Copy, reproduce, distribute, publish, sell, sublicense, or commercially exploit our materials;
Share paid programming, account access, links, credentials, or content with another person without written permission;
Reverse engineer, scrape, automate access to, disrupt, or interfere with the Site or Services;
Use the Services for unlawful, abusive, fraudulent, harassing, or infringing activity; or
Misrepresent your affiliation with Holistic Athlete or use our trademarks without written permission.
14. Third-Party Links and Materials
The Services may contain links to or content from third parties. Links are provided for convenience and do not imply endorsement. We do not control and are not responsible for third-party content, availability, terms, privacy practices, goods, or services. Your use of third-party resources is at your own risk.
15. Availability, Modifications, and Termination
We may update, modify, restrict, suspend, or discontinue any portion of the Services when reasonably necessary. We do not guarantee that any platform, feature, coach, schedule, or content will always be available or error-free. We may suspend or terminate access for fraud, nonpayment, unsafe conduct, harassment, misuse, material misrepresentation, breach of these Terms, or other conduct we reasonably determine threatens the Company, a coach, another client, or the Services.
Termination does not eliminate payment obligations incurred before the effective termination date or provisions that by their nature should survive, including payment, intellectual property, disclaimers, release, indemnification, and dispute provisions.
16. Medical Disclaimer
The Services are intended for general fitness, performance, and educational purposes. Holistic Athlete and its coaches do not provide medical care, diagnosis, treatment, psychotherapy, or individualized medical or dietetic services unless separately stated in writing and provided by an appropriately licensed professional acting within that professional scope.
Information from the Site, a coach, or the Services is not a substitute for advice from your physician or another qualified licensed professional. Before beginning or changing a fitness or nutrition program, consult an appropriate professional. Do not disregard or delay professional medical advice because of information provided through the Services.
17. Assumption of Risk and Release
Physical training, endurance activity, strength training, competition, and changes in exercise or nutrition involve inherent and other risks, including injury, illness, disability, property damage, and death. You voluntarily choose to participate and knowingly assume the risks associated with your participation, including risks arising from your failure to disclose relevant information or follow professional medical advice.
To the fullest extent permitted by law, you release and discharge Holistic Athlete LLC and its affiliates, owners, officers, employees, coaches, contractors, agents, successors, and assigns from claims or causes of action arising out of or related to your participation in or use of the Services, including claims based on ordinary negligence, but excluding claims that cannot lawfully be released.
18. Disclaimer of Warranties and Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RESULTS. WE DO NOT GUARANTEE PERFORMANCE OUTCOMES, RACE RESULTS, BODY-COMPOSITION CHANGES, INJURY PREVENTION, OR UNINTERRUPTED ACCESS.
TO THE FULLEST EXTENT PERMITTED BY LAW, HOLISTIC ATHLETE LLC AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, COACHES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OPPORTUNITIES, OR GOODWILL ARISING FROM THE SERVICES. TO THE EXTENT LIABILITY CANNOT BE EXCLUDED, THE COMPANY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO THE COMPANY FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, EXCEPT WHERE APPLICABLE LAW REQUIRES OTHERWISE.
19. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Holistic Athlete LLC and its affiliates, owners, officers, employees, coaches, contractors, agents, licensors, service providers, successors, and assigns from claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising out of or related to your breach of these Terms, unlawful conduct, misuse of the Services, infringement of another person’s rights, or material misrepresentation, except to the extent caused by a party’s conduct that cannot lawfully be indemnified.
20. Governing Law and Venue
These Terms and any dispute arising from or related to them or the Services are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Subject to any non-waivable law, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Texas. The attorney reviewing these Terms should confirm the appropriate county and venue language for Holistic Athlete LLC.
21. General Provisions
If any provision is held invalid or unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions remain effective. These Terms and incorporated written agreements constitute the entire agreement concerning their subject matter and supersede prior or contemporaneous communications on that subject. A waiver is effective only if in writing and does not waive any later breach.
We are not liable for delay or failure caused by circumstances beyond our reasonable control, including natural disasters, illness, labor disputes, internet or telecommunications failures, platform outages, government actions, transportation disruption, or failures of third-party providers.
You may not assign your rights or obligations without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or transfer of the Services.
